Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Semantic Zoom ("Semantic Zoom", "we", "us", or "our") and govern your use of the Semantic Zoom macOS application and the semantic-zoom.com website (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 13 years old, or the minimum age of digital consent in your country, to use the Service. You must provide a valid email address and keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us at support@semantic-zoom.com if you believe your account has been compromised.
2. The Service
Semantic Zoom lets you select text and re-express it at different levels of abstraction (plainer or more precise) while preserving the original meaning. Rewrites are generated using third-party artificial-intelligence models. AI output may be inaccurate, incomplete, or unsuitable for a given purpose, and you are responsible for reviewing results before relying on them. The Service is provided for your lawful use with text you have the right to process.
3. Free trial and subscriptions
- New accounts can start a 3-day free trial. Starting the trial requires beginning a subscription and providing a valid payment card; you will not be charged during the trial. The trial is available once per person.
- Unless you cancel before the trial ends, your subscription begins automatically and your card is charged: $3.49 per month or $35.00 per year, in U.S. dollars and exclusive of any applicable taxes.
- Subscriptions automatically renew at the end of each billing period at the then-current price until you cancel.
- You may turn off automatic renewal at any time from your account. Your subscription remains active until the end of the current paid period, after which it will not renew.
- Except where required by law, payments are non-refundable, and turning off renewal does not entitle you to a refund for the current period.
- We may change our prices or plans. We will give reasonable advance notice of price changes, which will take effect on your next billing period; continued use after a change constitutes acceptance of the new price.
4. Payments
Payments are processed by Stripe, and your use of Stripe's services is subject to Stripe's terms. By subscribing, you authorize us and Stripe to charge your selected payment method for the applicable fees and taxes on a recurring basis until you cancel. You are responsible for keeping your payment information accurate and current. If a payment fails, we may suspend or downgrade your access until payment is resolved.
5. Acceptable use
You agree not to, and not to attempt to:
- use the Service in violation of any applicable law or regulation;
- submit content you do not have the right to process, or that infringes the rights of others;
- use the Service to generate unlawful, harmful, harassing, deceptive, or infringing content;
- reverse-engineer, decompile, or attempt to extract source code, keys, or models, except to the extent this restriction is prohibited by law;
- interfere with, disrupt, overload, or gain unauthorized access to the Service or its infrastructure;
- resell, sublicense, or provide the Service to third parties, or circumvent usage limits, authentication, or billing.
We may suspend or terminate access for conduct that violates these Terms or that we reasonably believe is harmful to the Service or others.
6. Your content
You retain all rights to the text you submit ("Input") and to the rewritten text you receive ("Output"). You grant us a limited, non-exclusive license to process your Input solely to provide the Service (that is, to generate and return Output to you) as described in our Privacy Policy. We do not claim ownership of your Input or Output and do not use your Input to train AI models. You are solely responsible for your Input and for how you use the Output.
7. Our intellectual property
The Service, including the application, website, software, design, logo, and the name "Semantic Zoom", is owned by us and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal or internal business purposes in accordance with these Terms. No other rights are granted.
8. Third-party services
The Service relies on third-party providers, including Supabase (authentication and database), Stripe (payments), and OpenAI (rewrite generation). Your use of the Service may be subject to those providers' terms, and we are not responsible for their acts or omissions.
9. Availability and changes
We aim to keep the Service available but do not guarantee that it will be uninterrupted, timely, secure, or error-free. We may modify, suspend, or discontinue any part of the Service at any time. Where a change materially reduces core paid functionality, we will provide reasonable notice.
10. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that AI-generated Output is accurate, complete, or fit for any purpose, and you assume all responsibility for reviewing and relying on it.
11. Limitation of liability
To the maximum extent permitted by law, in no event will Semantic Zoom be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of or inability to use the Service. Our total aggregate liability for all claims relating to the Service will not exceed the greater of the amount you paid us in the twelve (12) months before the event giving rise to the claim, or USD $50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless Semantic Zoom from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Input, your use of the Service, or your violation of these Terms or of any law or third-party right.
13. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or its users. Deleting your account cancels any active subscription so that it will not renew. Provisions that by their nature should survive termination (including sections 6–14) will survive.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, and applicable U.S. federal law, without regard to conflict-of-laws principles. You agree that the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute that is not subject to informal resolution, and you consent to their jurisdiction and venue. Before filing any claim, you agree to first contact us at support@semantic-zoom.com and attempt to resolve the dispute informally for at least 30 days. Nothing in this section limits either party's right to seek injunctive relief for intellectual-property or unauthorized-access matters.
15. Changes to these Terms
We may update these Terms from time to time. We will revise the "Last updated" date above and, for material changes, provide additional notice through the Service or by email. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
16. Miscellaneous
These Terms and our Privacy Policy are the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Headings are for convenience only.
